PODCAST GUEST AGREEMENT AND RELEASE

“Cheers to Your Success!”

I hereby agree, consent to, and grant Metabolic Fix Inc. (the “Producer”) all rights related to the recording and broadcast, or any other distribution of reproductions, of my voice, photograph, likeness, and performance as part of my participation as a guest on the audiovisual program titled “Cheers to Your Success!” (the “Program”). By submitting this agreement, I acknowledge and agree to the following:

1. Ownership and Rights

   • Producer is the sole owner of all rights in and to the Program, including any recordings thereof and any materials prepared for the Program (“Materials”).
   • Producer has the unrestricted right to use, promote, and distribute the Program one or more times, in any and all media or formats, throughout the world, in perpetuity.

2. No Compensation and No Approval

   • I understand that I will receive no compensation for my appearance on, or participation in, the Program.
   • I waive any right to inspect or approve the final content of the Program.
   • Nothing in this Agreement obligates Producer to use or exploit any of the rights granted herein or to make, sell, license, distribute, or otherwise use the Program or Materials in any manner whatsoever.

3. Use of Name and Likeness

   • My name and likeness may be used in advertising and promotional material for the Program.
   • Such use shall not constitute an endorsement of any other product or service unless separately agreed upon.

4. Release of Liability

   • I hereby release and discharge Producer and Producer’s principals, shareholders, officers, employees, agents, successors, heirs, assigns, and affiliates from any and all liability arising out of or in connection with the making, producing, reproducing, processing, exhibiting, distributing, publishing, or transmitting of the Program and Materials by any means.

5. Warranties and Representations

   • I am at least eighteen (18) years of age and fully competent to execute this Agreement.
   • No other existing agreement prevents me from transferring these rights to Producer, its successors, or its assigns.

6. No Legal Challenge

   • I agree not to institute any legal action to contest the rights conveyed to Producer under this Agreement.

7. Binding Agreement

   • By submitting this form, I acknowledge that I have read and understand the contents of this release.
   • I am executing this Agreement of my own free will, and my submission is the equivalent of a physical signature and is legally binding.
